2.  END USER LICENSE AGREEMENT
If you purchase a license (or obtain a free trial) to use our Profit Alchemy Software, then you will be subject to the terms of our current End User License Agreement.

3.  PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT
If you believe that your work has been copied and is accessible on this site or another site using our Profit Alchemy Software in a way that constitutes copyright infringement, you may notify us at support@profitalchemy.com. 

4.  CONTENT SUBMITTED TO PROFIT ALCHEMY, INC.
You grant to PROFIT ALCHEMY, INC. a non-exclusive, royalty-free, worldwide, perpetual license, with the right to sub-license, to reproduce, distribute, transmit, create derivative works of, publicly display and publicly perform any comments and other information (including, without limitation, ideas contained therein for new or improved products and services) you submit to any public areas of Profit Alchemy, Inc’s Site(s) (such as bulletin boards, forums and newsgroups) or by e-mail to PROFIT ALCHEMY, INC. by all means and in any media now known or hereafter developed. You also grant to PROFIT ALCHEMY, INC. the right to use your name in connection with the submitted comments and other information as well as in connection with all advertising, marketing and promotional material related thereto. UNDER NO CIRCUMSTANCES SHALL PROFIT ALCHEMY, INC.OR ITS LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SITE. Upon a request by PROFIT ALCHEMY, INC., you agree to defend, indemnify, and hold PROFIT ALCHEMY, INC. and its other affiliated companies harmless, and their employees, contractors, officers, and directors from all liabilities, claims, and expenses, including attorney’s fees, that arise from your misuse of this site.

10.  SEVERABILITY AND INTEGRATION
Unless otherwise specified herein, this agreement constitutes the entire agreement between you and PROFIT ALCHEMY, INC. with respect to this site and supersedes all prior or contemporaneous communications between you and PROFIT ALCHEMY, INC. with respect to this site. If any part of these Terms of Use is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.

11.  JURISDICTION
These Terms of Use shall be governed by and construed in accordance with the laws of the State of California. You hereby consent to jurisdiction of the courts in the State of California to resolve any disputes arising under this Terms of Use.
